"&lt;p&gt;&lt;strong&gt;Last Updated: December 2025&lt;\/strong&gt;&lt;\/p&gt;\n\n&lt;p&gt;&lt;strong&gt;Effective Date: December 2025&lt;\/strong&gt;&lt;\/p&gt;\n\n&lt;p&gt;This Cancellation and Refund Policy (&amp;ldquo;&lt;strong&gt;Policy&lt;\/strong&gt;&amp;rdquo;) forms an integral part of the InMobi Advertiser Terms (&amp;ldquo;&lt;a href=&quot;https:\/\/advertising.inmobi.com\/advertiser-terms&quot; target=&quot;_blank&quot;&gt;&lt;strong&gt;Terms&lt;\/strong&gt;&lt;\/a&gt;&amp;rdquo;) and any insertion order, SOW, or other commercial agreement executed between InMobi Technology Services Private Limited, its subsidiaries, and affiliates (collectively, &amp;ldquo;&lt;strong&gt;InMobi&lt;\/strong&gt;&amp;rdquo;). This Policy governs all requests relating to cancellation of services, refunds, credits, reversals, or adjustments sought by advertisers or their authorised agencies (collectively, the &amp;ldquo;&lt;strong&gt;Advertiser&lt;\/strong&gt;&amp;rdquo;) arising from or connected with campaigns delivered through the InMobi platform.&lt;\/p&gt;\n\n&lt;p&gt;To the extent of any inconsistency between this Policy and the Terms, the Terms shall prevail unless expressly stated otherwise herein.&lt;\/p&gt;\n\n&lt;p&gt;&lt;strong&gt;1. Cancellation of Campaigns&lt;\/strong&gt;&lt;\/p&gt;\n\n&lt;p&gt;&lt;strong&gt;1.1 Requirement for Advance Submission&lt;\/strong&gt;&lt;br \/&gt;\nAll requests for cancellation of campaigns must be submitted prior to the scheduled campaign start date. Any one-time charges including onboarding, integration, setup, activation, or similar fees are non-cancellable and non-refundable.&lt;\/p&gt;\n\n&lt;p&gt;&lt;strong&gt;1.2 Grounds for Rejection&lt;\/strong&gt;&lt;br \/&gt;\nInMobi reserves the right, at its sole discretion, to decline any cancellation request, including in the following situations:&lt;\/p&gt;\n\n&lt;ol type=&quot;a&quot;&gt;\n\t&lt;li&gt;Partial or Full Consumption: Where campaign delivery has commenced. Only the undelivered portion, if any, may be considered for a pro-rata refund, subject to verification by InMobi.&lt;\/li&gt;\n\t&lt;li&gt;Non-Cancellable Commitments: Where the IO, package, or transaction is expressly non-cancellable or involves fixed-buy commitments.&lt;\/li&gt;\n\t&lt;li&gt;Late Submission: Where the request is made after the commencement of the campaign or after inventory has been reserved or allocated.&lt;\/li&gt;\n&lt;\/ol&gt;\n\n&lt;p&gt;No cancellation shall be effective unless confirmed in writing by InMobi.&lt;\/p&gt;\n\n&lt;p&gt;&lt;strong&gt;2. Refunds&lt;\/strong&gt;&lt;\/p&gt;\n\n&lt;p&gt;&lt;strong&gt;2.1 Eligibility&lt;\/strong&gt;&lt;br \/&gt;\nRefunds are not automatic and may be processed only under the circumstances set out below, and always subject to InMobi&amp;rsquo;s sole discretion:&lt;\/p&gt;\n\n&lt;ol type=&quot;a&quot;&gt;\n\t&lt;li&gt;Duplicate, erroneous, or accidental payments remitted by the Advertiser;&lt;\/li&gt;\n\t&lt;li&gt;Billing discrepancies resulting in incorrect amounts being charged;&lt;\/li&gt;\n\t&lt;li&gt;Technical or processing failures attributable to InMobi&amp;rsquo;s systems;&lt;\/li&gt;\n\t&lt;li&gt;Cancellations approved in accordance with Section 1;&lt;\/li&gt;\n\t&lt;li&gt;Failed transactions where funds have been debited from the Advertiser but not received by InMobi.&lt;\/li&gt;\n&lt;\/ol&gt;\n\n&lt;p&gt;&lt;strong&gt;2.2 Method and Timelines&lt;\/strong&gt;&lt;br \/&gt;\nAll refunds shall be made exclusively to the original mode of payment, in accordance with applicable banking and regulatory requirements. Refund timelines are bank-dependent and typically range between 8&amp;ndash;10 business days from approval.&lt;\/p&gt;\n\n&lt;p&gt;&lt;strong&gt;2.3 Restrictions on Tax and Fee Refunds&lt;\/strong&gt;&lt;\/p&gt;\n\n&lt;ol type=&quot;a&quot;&gt;\n\t&lt;li&gt;GST: GST and other applicable taxes will be refunded only where (i) the Advertiser has made the underlying payment, and (ii) no services have been consumed.&lt;\/li&gt;\n\t&lt;li&gt;No Refunds on Service Usage: No refund shall be issued on grounds of dissatisfaction, performance-related concerns, internal budget decisions, or any reason of a similar nature once services have been consumed.&lt;\/li&gt;\n\t&lt;li&gt;Non-Refundable Charges: Convenience fees, processing fees, platform fees, and other ancillary charges shall remain non-refundable except where mandated by law.&lt;\/li&gt;\n&lt;\/ol&gt;\n\n&lt;p&gt;&lt;strong&gt;3. Tax Deducted at Source (TDS)&lt;\/strong&gt;&amp;nbsp;&lt;\/p&gt;\n\n&lt;p&gt;The Advertiser shall pay the full invoiced amount upfront at the commencement of the campaign. In the event any TDS is deducted, the Advertiser shall provide InMobi with the corresponding TDS certificate (Form 16A) at the end of the relevant financial year. Upon receipt of such certificate, InMobi shall refund the equivalent TDS amount to the Advertiser.&lt;\/p&gt;\n\n&lt;p&gt;&lt;strong&gt;4. InMobi Transparency and Consent Management Platform.\u00a0&lt;\/strong&gt;&lt;\/p&gt;\n\n&lt;p&gt;a.\u00a0&lt;strong&gt;Solution.&lt;\/strong&gt;\u202fInMobi or its service providers will provide Customer with the CMP Tag and the technical guide for the Solution (the &lt;strong&gt;&quot;Technical Guide&quot;&lt;\/strong&gt;) in order for Customer to implement the Solution. The Solution enables operators of websites, apps or other digital properties to display a user interface to end users, including selectively by geographic information inferred from an end user\u2019s Internet Protocol address to: (i) provide information to end users about how their Personal Data is processed in accordance with the IAB Europe Transparency and Consent Framework; (ii) allow end users to consent, refuse or withdraw consent and\/or object to the processing of their Personal Data in accordance with the IAB Europe Transparency and Consent Framework; and (iii) allow end users to opt out of the sale of their Personal Data in accordance with the IAB CCPA Compliance Framework. The Solution further enables operators websites, apps and other digital properties to store end users\u2019 privacy preferences and transmit stored privacy preferences in accordance with the IAB Europe Transparency and Consent Framework or IAB CCPA Compliance Framework, as applicable.\u00a0&lt;\/p&gt;\n\n&lt;p&gt;b. &lt;strong&gt;DPA.&lt;\/strong&gt; The terms of the DPA are hereby incorporated by reference and will apply to the extent any of your data includes Personal Data.\u00a0&lt;\/p&gt;\n\n&lt;p&gt;c. &lt;strong&gt;Customer&#039;s Obligations and Representations.\u202f&lt;\/strong&gt;While using the Solution, Customer will comply with all applicable laws, rules and regulations. Customer agrees, represents and warrants to InMobi that Customer: (i) has all rights, approvals, and consents necessary to implement the Solution on websites, apps, and other digital properties; (ii) will implement the CMP Tag only as described in the Technical Guide and the terms and conditions of this Agreement and update the CMP Tag when InMobi notifies Customer of any fixes, updates, and upgrades; (iii) will not interfere, attempt to interfere with or disrupt the operation of the Solution or the servers or networks used to make the Solution available; (iv) will not delete, or in any manner alter, the copyright, trademark, or other proprietary rights notices appearing on the Solution or materials provided by or on behalf of InMobi; (v) will not reverse engineer, decompile or disassemble any portion of the Solution, including any CMP Tag, except where such restriction is expressly prohibited by applicable law; and (vi) will not, without InMobi\u2019s express prior written consent, reproduce, duplicate, download, host on Customer\u2019s own servers, modify, adapt, translate, create derivative works of, sell, resell, lease, loan, timeshare, license, sublicense or otherwise exploit any portion of, use of or access to the Solution, the Technical Guide ,, services, software, instruction manuals or other documentation made available to Customer by or on behalf of InMobi (collectively, the &lt;strong&gt;&quot;InMobi Technology&quot;&lt;\/strong&gt;), including to develop or assist in developing a product or service competitive with the Solution.\u00a0&lt;\/p&gt;\n\n&lt;p&gt;3. &lt;strong&gt;Indemnity.&lt;\/strong&gt;\u202fTo the fullest extent permitted under applicable law, Customer agrees to defend, indemnify, and hold InMobi and its officers, directors, employees, shareholders and agents harmless from any claims, disputes, demands, judgments, damages, losses, liabilities, fines, costs or expenses (including reasonable attorneys&#039;\u00a0fees) arising out of or in any way connected with: (a) Customer\u2019s access to and use of the Solution; and (b) Customer&#039;s breach of this Agreement. InMobi will have no obligation or liability hereunder where the claim results from any combination with, addition to, or modification of the CMP Tag. Where pursuant to Article 82(4) of the GDPR, InMobi is found to be liable for the entire damage arising from a breach or breaches of the GDPR relating to activities under this Agreement, in order to ensure effective compensation of one or more individuals, then Customer will indemnify InMobi for all claims, demands, loss, damages, or expenses (including reasonable attorneys&#039;\u00a0fees) relating to any breaches of GDPR for which Customer is wholly or partly responsible. All compensation paid to a data subject pursuant to Article 82(4) of the GDPR by InMobi which is wholly or partly attributable to GDPR breaches by Customer will be repaid pursuant to this indemnity and Article 82(5) immediately on receipt of a written request from InMobi pursuant to this Section 3.\u00a0&lt;\/p&gt;\n\n&lt;p&gt;4. &lt;strong&gt;Warranty Disclaimer.\u202f&lt;\/strong&gt;THE SOLUTION IS PROVIDED &quot;AS IS,&quot; WITHOUT WARRANTY OF ANY KIND. WITHOUT LIMITING THE FOREGOING, INMOBI EXPLICITLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. FURTHER, INMOBI MAKES NO WARRANTY THAT THE SOLUTION OR ANY OF ITS COMPONENT FEATURES AND FUNCTIONALITIES, INCLUDING THE CMP TAG, WILL (a) BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS; (b) NOT CAUSE ANY LATENCY OR PROCESSING DELAYS; (c) MEET ANY LEGAL REQUIREMENTS AROUND CONSENT OR DATA PROTECTION, OR (d) MEET CUSTOMERS EXPECTATIONS OR REQUIREMENTS. THE FOREGOING DISCLAIMERS ARE AN ESSENTIAL PART OF THIS AGREEMENT AND FORMED A BASIS FOR ENABLING INMOBI TO OFFER THE SOLUTION TO CUSTOMER. SOME JURISDICTIONS DO NOT ALLOW DISCLAIMERS OF CERTAIN WARRANTIES SO THIS DISCLAIMER MAY NOT APPLY TO CUSTOMER IN FULL.\u00a0&lt;\/p&gt;\n\n&lt;p&gt;5. &lt;strong&gt;Termination.\u202f&lt;\/strong&gt;Unless otherwise terminated as set forth herein, this Agreement will remain in full force and effect while Customer has access to the Solution. Customer may terminate this Agreement by removing the CMP Tag from Customer&#039;s websites, apps or other digital properties, as applicable, or notifying InMobi, in writing, of Customer\u2019s termination of this Agreement, which may be done at any time. InMobi may suspend or terminate Customer&#039;s access to and use of the Solution or terminate this Agreement, at InMobi&#039;s sole discretion at any time, for any reason or no reason and without any liability to Customer or any third party. Upon any termination, discontinuation or cancellation of the Solution, Sections 2(c), 3, 4, 5, and 7 to 11 will survive.\u00a0\u00a0&lt;\/p&gt;\n\n&lt;p&gt;6. &lt;strong&gt;Feedback.&lt;\/strong&gt; We welcome feedback, comments and suggestions for improvements to the Solution (&lt;strong&gt;&quot;Feedback&quot;&lt;\/strong&gt;). What is CCPA?&lt;\/strong&gt;&lt;\/p&gt;\n\n&lt;p&gt;California Consumer Privacy Act (CCPA) is a comprehensive data privacy regulation applicable to the users based in the State of California in the United States. CCPA becomes effective from January 2020 and at a high level imposes transparency with regard to the collection, processing and use of consumer\u2019s personal information and provides consumers with certain rights regarding such usage.&lt;\/p&gt;\n\n&lt;p&gt;2.&lt;strong&gt; Do you as a partner to InMobi or its affiliates need to comply with CCPA?&lt;\/strong&gt;&lt;\/p&gt;\n\n&lt;p&gt;If you are partnering with InMobi or any of its affiliates(s), whereby you are either providing or obtaining personal information of users based in U.S., then, yes, you need to be compliant with requirements under CCPA (\u201cPartners\u201d).&lt;\/p&gt;\n\n&lt;ul&gt;\n\t&lt;li&gt;In the context of CCPA, personal data or personal information includes without limitation online identifiers such as device identifiers, IP address, ad-ids, gpid etc. and any inferences drawn from the same used to create audience profiles.&lt;\/li&gt;\n\t&lt;li&gt;De-identified\/Anonymized, aggregated consumer information is not deemed to be personal information under CCPA.&lt;\/li&gt;\n\t&lt;li&gt;Please note that while CCPA is intended to be applicable to users based in California, InMobi requires its partners to implement certain measures for users across the entire U.S.&lt;\/li&gt;\n&lt;\/ul&gt;\n\n&lt;p&gt;Please consult your lawyers to determine your position and compliance requirements under CCPA.&lt;\/p&gt;\n\n&lt;p&gt;3. &lt;strong&gt;What happens if the app\/network is not compliant with the requirements of CCPA?&lt;\/strong&gt;&lt;\/p&gt;\n\n&lt;p&gt;Intentional violation of the CCPA can bring civil penalties of up to $7500 for each violation in a lawsuit brought by the California Attorney General on behalf of the people of the State of California.&lt;\/p&gt;\n\n&lt;p&gt;The maximum fine for other violations is $2500 per violation. Other impacts comprise of claims, action for damages, termination of the engagement, loss of reputation, business and revenue. InMobi may also only elect to run anonymized traffic.&lt;\/p&gt;\n\n&lt;p&gt;4. &lt;strong&gt;What broad measures must you take as a Partner to InMobi in the context of CCPA?&lt;\/strong&gt;&lt;\/p&gt;\n\n&lt;p&gt;There are certain requirements that have to be fulfilled by Partners to comply with CCPA. Such requirements include (but are not limited to):&lt;\/p&gt;\n\n&lt;ul&gt;\n\t&lt;li&gt;privacy policy update such that the policy clearly indicates the consumer data sets collected,&lt;\/li&gt;\n\t&lt;li&gt;how such data is used or processed,&lt;\/li&gt;\n\t&lt;li&gt;disclosure regarding further sharing, transferring or \u2018selling\u2019 of consumer data to third parties and&lt;\/li&gt;\n\t&lt;li&gt;establish or update practices for addressing consumer rights such as consumer\u2019s right to know, access, seek correction or deletion of personal information or elect to opt-out of \u2018sale of personal information\u2019 etc.&lt;\/li&gt;\n&lt;\/ul&gt;\n\n&lt;p&gt;5. &lt;strong&gt;What is the definition of sale under CCPA?&lt;\/strong&gt;&lt;\/p&gt;\n\n&lt;p&gt;Definition of sale has been broadened in the CCPA.&lt;\/p&gt;\n\n&lt;p&gt;\u201cSell,\u201d \u201cselling,\u201d \u201csale,\u201d or \u201csold,\u201d means selling, renting, releasing, disclosing, disseminating, making available, transferring, or otherwise communicating orally, in writing, or by electronic or other means, a consumer\u2019s personal information by the business to another business or a third party for monetary or other valuable consideration.&lt;\/p&gt;\n\n&lt;p&gt;6.&lt;strong&gt; What is InMobi\u2019s position under CCPA?&lt;\/strong&gt;&lt;\/p&gt;\n\n&lt;p&gt;InMobi has taken the position of \u2018Business\u2019 for its supply side engagement(s) on the network\/SSP side, data management platform and owned and operated applications. For demand side engagements including InMobi DSP integration, InMobi has taken the position of a \u2018Service Provider\u2019 where it obtains personal information from its demand partners. InMobi has taken the position of a \u2018Service Provider\u2019 for its affiliate promotion channel.&lt;\/p&gt;\n\n&lt;p&gt;7.&lt;strong&gt; Does InMobi view the disclosure of personal information in an integration with third-party mediation partners (or SSPs) as \u201csale\u201d under the CCPA? Why?&lt;\/strong&gt;&lt;\/p&gt;\n\n&lt;p&gt;Yes, InMobi considers the exchange of personal information from sources as sale, as InMobi uses personal information for targeting which is beyond just attribution and measurement. If you are a publisher, we would recommend that you check with your mediation partner (referred to as third-party mediation partners\/SSPs in this case) for their specific stance under CCPA.&lt;\/p&gt;\n\n&lt;p&gt;8.&lt;strong&gt; How long will user data be stored at InMobi? &lt;\/strong&gt;&lt;\/p&gt;\n\n&lt;p&gt;There is no change in InMobi\u2019s data retention policy as part of this update. Personal information will not be stored for more than 13 months.&lt;\/p&gt;\n\n&lt;p&gt;9. &lt;strong&gt;How does InMobi plan on receiving consumer opt-outs, data access or deletion requests from supply partners?&lt;\/strong&gt;&lt;\/p&gt;\n\n&lt;p&gt;InMobi, as a part of phase 1 implementation, will receive opt-out information from publishers via manual but secure means (password protected data rooms, data dumps, emails (with locked folders) etc) and act upon the request. Further, as a part of phase 2 implementation, InMobi will integrate with the IAB CCPA framework for data transfers.&lt;\/p&gt;\n\n&lt;p&gt;InMobi will follow the same approach to send this information to our downstream partners.&lt;\/p&gt;\n\n&lt;p&gt;10. &lt;strong&gt;Should the in-app advertising partners obtain prior consent from users under CCPA guidelines?&lt;\/strong&gt;&lt;\/p&gt;\n\n&lt;p&gt;There is no requirement of obtaining prior consent in the CCPA. "&lt;p&gt;&lt;span style=&quot;background-color:initial&quot;&gt;Until 25 May 2018, the Data Protection Act 1998 (the &quot;&lt;\/span&gt;&lt;strong&gt;DPA&lt;\/strong&gt;&lt;span style=&quot;background-color:initial&quot;&gt;&quot;) is the key piece of legislation governing data protection. The General Data Protection Regulation (the &quot;&lt;\/span&gt;&lt;strong&gt;GDPR&lt;\/strong&gt;&lt;span style=&quot;background-color:initial&quot;&gt;&quot;), is a new piece of legislation which will largely supersede the DPA on 25 May 2018. The GDPR will then apply to the processing carried out under the Agreement. In the event any regulatory body identifies the parties each as Data Controllers of the relevant Personal Data it provides or obtains hereunder under applicable Data Protection Laws, section 1.2 of this Addendum shall apply only to the extent that the parties are both Data Controllers\/ In the event any regulatory body identifies a party as a Data Processor of the relevant Personal Data it is sharing under this Addendum under applicable Data Protection Laws, such a party will comply with the terms of Sections 1.2.2 - 1.2.4.2 as a Data Processor.&lt;\/p&gt;\n\n&lt;p&gt;1.2.1 Paragraphs 1.2.2 - 1.2.4.2 shall apply if and to the extent that the Processor processes any Personal Data on the Controller&#039;s behalf when performing its obligations under the Agreement.&lt;\/p&gt;\n\n&lt;p&gt;1.2.2 Each party acknowledges that:&lt;\/p&gt;\n\n&lt;p&gt;1.2.2.1 Processor shall only Process Personal Data for the following permitted purpose in relation to advertising campaigns distributed through Controller:&lt;\/p&gt;\n\n&lt;p&gt;(1) For fraud detection purposes including creating fraud reports to be shared with advertisers;&lt;\/p&gt;\n\n&lt;p&gt;(2) For reporting purposes including reports to be shared with advertisers or for reporting to Controller;&lt;\/p&gt;\n\n&lt;p&gt;(3) For determining performance of campaigns distributed through Publisher&#039;s inventory or network and billing purposes.&lt;\/p&gt;\n\n&lt;p&gt;1.2.2.2 the processing shall continue for the duration of this agreement;&lt;\/p&gt;\n\n&lt;p&gt;&lt;span style=&quot;background-color:initial&quot;&gt;1.2.2.3 the processing concerns: clicks and impressions data, IP Address, device identifiers, &lt;\/span&gt;http&lt;span style=&quot;background-color:initial&quot;&gt; headers, publisher details (such as site ID, partner ID, publisher name), campaign details (such as campaign ID, creative ID) and such other data sets. &lt;\/span&gt;&lt;\/p&gt;\n\n&lt;p&gt;1.2.3 The Processor shall:&lt;\/p&gt;\n\n&lt;p&gt;1.2.3.1 process the Personal Data only to the extent necessary for the purposes of the Agreement and otherwise in accordance with the documented instructions of the Controller;&lt;\/p&gt;\n\n&lt;p&gt;1.2.3.2 not process the Personal Data in any country outside the European Economic Area other than in accordance with the terms of the Model Contract Clauses. If the Processor is required by applicable laws to transfer the Personal Data outside of the European Economic Area, the Processor shall execute appropriate documentation as required under Data Protection Legislation (unless the Processor is barred from making such notification under the relevant applicable law). Publisher acknowledges that InMobi may need to transfer Personal Data outside of EEA in the context of Processing;&lt;\/p&gt;\n\n&lt;p&gt;1.2.3.3 ensure that all persons authorised by it to process the Personal Data are committed to confidentiality or are under a statutory obligation of confidentiality under applicable law;&lt;\/p&gt;\n\n&lt;p&gt;1.2.3.4 have at all times during the term of the Agreement appropriate technical and organisational measures to ensure a level of security appropriate to the risk to protect any Personal Data, with particular regard to its accidental or unlawful destruction, loss, alteration, unauthorised disclosure of, or access;&lt;\/p&gt;\n\n&lt;p&gt;1.2.3.5 where the Processor does engage another Processor, substantially similar obligations to those set out in paragraphs 1.2.2 - 1.2.3 shall be imposed by the Processor on the other Processor in a written contract;&lt;\/p&gt;\n\n&lt;p&gt;1.2.3.6 cease processing the Personal Data immediately upon the termination or expiry of this Agreement or, if sooner, on cessation of the contractual activity to which it relates and, at the Controller&#039;s election, delete or return all Personal Data to the Controller, and delete all existing copies unless applicable law requires their retention;&lt;\/p&gt;\n\n&lt;p&gt;1.2.3.7 You shall not retain Personal Data for longer than necessary to meet the permitted purposes hereunder or use the same for any purposes other than such permitted purposes.&lt;\/p&gt;\n\n&lt;p&gt;1.2.3.8 If requested by Controller, Processor shall without delay, rectify the Personal Data, to ensure it remains accurate, complete and current or delete the same upon notification by Controller to honour any Data Subject&#039;s request. Controller agrees to notify Processor of such requests upon being aware of the same promptly upon receiving the same without any undue delay.&lt;\/p&gt;\n\n&lt;p&gt;1.2.3.9 make available to the Controller all information reasonably necessary to demonstrate compliance with the obligations set out in this Rider, and reasonably assist in audits, including inspections, conducted by the Controller or its representative to determine Processor&#039;s compliance with its obligations hereunder. Processor shall have audit rights to determine Controller&#039;s compliance with Data Protection Legislation and Controller shall make available to the Processor all information reasonably necessary to demonstrate such compliance. Any audit will be conducted upon provision of reasonable notice and during regular working hours;&lt;\/p&gt;\n\n&lt;p&gt;1.2.3.10 at the earliest opportunity, and in any event within 48 hours after having become aware, notify the Controller of any unauthorised or unlawful processing of any Personal Data to which this clause applies and of any loss or destruction or other damage and shall take such steps consistent with good industry practice to mitigate the detrimental effects of any such incident on the Data Subjects and co-operate with the Controller in dealing with such incident and its consequences; and&lt;\/p&gt;\n\n&lt;p&gt;1.2.4 Where the Processor intends to or replace other Processors, it shall first inform the Controller of the intended change, and shall implement appropriate data processing terms with such new Processors.&lt;\/p&gt;\n\n&lt;p&gt;1.2.5 The Processor acknowledges that the Controller is under certain record keeping obligations under the Data Protection Legislation, and agrees to provide the Controller with all reasonable assistance and information required by the Controller to satisfy such record keeping obligations.&lt;\/p&gt;\n\n&lt;p&gt;&lt;strong&gt;2 &lt;\/strong&gt;&lt;strong&gt;Model Contract Clauses&lt;\/strong&gt;&lt;\/p&gt;\n\n&lt;p&gt;The Model Contract Clauses require setting out more detail about what data is being transferred and why, as well as how the Processor must keep that data secure.&lt;\/p&gt;\n\n&lt;p&gt;&lt;strong&gt;2.1 &lt;\/strong&gt;&lt;strong&gt;Description of Processor&#039;s data Processing &lt;\/strong&gt;&lt;\/p&gt;\n\n&lt;p&gt;2.1.1 The types of data being transferred are Personal Data, which does not include special categories of data.&lt;\/p&gt;\n\n&lt;p&gt;2.1.2 Processor will be carrying out the tasks in relation to that data as set out in 1.2.2.1.&lt;\/p&gt;\n\n&lt;p&gt;&lt;strong&gt;2.2 &lt;\/strong&gt;&lt;strong&gt;Description of Processor&#039;s security measures&lt;\/strong&gt;&lt;\/p&gt;\n\n&lt;p&gt;2.2.1 Restriction of access to data centres, systems and server rooms as necessary to ensure protection of Personal Data.&lt;\/p&gt;\n\n&lt;p&gt;2.2.2 Monitoring of unauthorised access.&lt;\/p&gt;\n\n&lt;p&gt;2.2.3 Written procedures for employees, contractors and visitors covering confidentiality and security of information.&lt;\/p&gt;\n\n&lt;p&gt;2.2.4 Restricting access to systems depending on the sensitivity\/criticality of such systems.&lt;\/p&gt;\n\n&lt;p&gt;2.2.5 Use of password protection where such functionality is available.&lt;\/p&gt;\n\n&lt;p&gt;2.2.6 Maintaining records of the access granted to which individuals.&lt;\/p&gt;\n\n&lt;p&gt;2.2.7 Ensuring prompt deployment of updates, bug-fixes and security patches for all systems.&lt;\/p&gt;\n\n&lt;p&gt;&lt;strong&gt;2.3&lt;\/strong&gt;&lt;strong&gt;Additional Provision&lt;\/strong&gt;&lt;\/p&gt;\n\n&lt;p&gt;2.3.1 The illustrative indemnity contained in the Model Contract Clauses is deemed deleted.&lt;\/p&gt;"

As applicable, each IO will specify: (i) the nature of the Deliverables, (ii) the price(s) for such Deliverables, (iii) the amount of money to be spent pursuant to the IO; and\/or any other required detail.&lt;\/p&gt;\n\n&lt;p&gt;Revisions to mutually agreed IOs will be accepted at the sole discretion of InMobi and will be subject to additional cost and extended timelines as may be ascertained by InMobi.&lt;\/p&gt;\n\n&lt;p&gt;&lt;strong&gt;REPRESENTATION AND WARRANTY&lt;\/strong&gt;:&lt;\/p&gt;\n\n&lt;p&gt;Each party represents and warrants that: (i) it is a duly incorporated duly and organized under the applicable and has full authority to carry on its business and enter into and carry out the terms of this Agreement; (ii) this Agreement constitutes its legal, valid and binding agreement, enforceable against it in accordance with its terms ; (iii) it shall comply with all applicable laws in performing its obligations under this Agreement; and (iv) the execution, delivery and performance of this Agreement shall not conflict with or result in a breach of any other agreement to which it is a party. Company represents and warrants that the content or subject matter of any survey material including Company Questions (a) shall be accurate; or (b) shall not contain content that is, illegal, obscene, defamatory, libelous, slanderous, hate-related, promoting violence or contain any other material, products or services which is illegal; or (c) violates or infringes any third-party rights.&lt;\/p&gt;\n\n&lt;p&gt;DISCLAIMER: EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE PARTIES HEREBY SPECIFICALLY DISCLAIM ANY REPRESENTATIONS, ENDORSEMENTS, GUARANTIES, OR WARRANTIES, EXPRESS OR IMPLIED, RELATED TO THE SERVICES INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTY OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS. INMOBI DOES NOT WARRANT THAT USE OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR FREE.&lt;\/p&gt;\n\n&lt;p&gt;&lt;strong&gt;CONFIDENTIALITY&lt;\/strong&gt;&lt;\/p&gt;\n\n&lt;p&gt;Each party shall maintain as confidential all information received from the other party that is identified as confidential at the time of disclosure (&quot;&lt;strong&gt;Confidential Information&lt;\/strong&gt;&quot;). Confidential Information shall not include information that is independently developed by recipient or is in public knowledge or is already in the possession of the recipient or is received by receiving party from a third party. If receiving party is required to disclose Confidential Information due to a legal requirement, it shall provide prompt notice of the same to disclosing party. Confidentiality obligation shall survive for a period of two (2) years from date of initial disclosure. Each party shall comply with the applicable export and import laws and regulations.&lt;\/p&gt;\n\n&lt;p&gt;&lt;strong&gt;TERM AND TERMINATION&lt;\/strong&gt;:&lt;\/p&gt;\n\n&lt;p&gt;This Agreement shall come into effect on the Effective Date and, subject to provisions of this section, shall continue in force unless terminated pursuant to the term of this Agreement.&lt;\/p&gt;\n\n&lt;p&gt;This Agreement may be terminated by either party immediately upon the occurrence of any of the following events: (i) if the other party seeks protection under any bankruptcy, receivership, trust deed, creditors arrangement, composition or comparable proceeding, or any such proceeding is instituted against the other party and is not dismissed within sixty (60) calendar days; (ii) if the other party ceases to do business, or otherwise terminates its business operations; or (iii) if the other materially breaches the terms of this Agreement and fails to cure the same within a period of 30 days of notification by the non-breaching party. This Agreement may be terminated by InMobi immediately for convenience at any time, by fourteen (14) days prior written notice.&lt;\/p&gt;\n\n&lt;p&gt;Provided that if any mutually agreed IO is terminated pursuant to the terms of this section the Company is liable to pay the following cancellation fees:&lt;\/p&gt;\n\n&lt;p&gt;a. Within five (5) days from the date of execution of the IO- fifty per cent (50%) of the total IO Value;&lt;\/p&gt;\n\n&lt;p&gt;b. Post five (5) days from the date of execution of the IO- One hundred percent (100 %) of the IO Value.&lt;\/p&gt;\n\n&lt;ul&gt;\n&lt;\/ul&gt;\n\n&lt;p&gt;Regardless of the nature of termination, Company shall pay InMobi for all Services provided up till the effective termination of the Agreement.&lt;\/p&gt;\n\n&lt;p&gt;&lt;strong&gt;PAYMENT&lt;\/strong&gt;&lt;\/p&gt;\n\n&lt;p&gt;Parties agree that the payment terms shall be as per the applicable IO. In the event there are no payment terms specified in an applicable IO then all invoices will be based on InMobi&#039;s reporting unless otherwise agreed by the parties. Payment will be made within thirty (30) days from the date of receipt of an applicable invoice. Fifty percent (50%) of the total IO value shall be paid at the time of execution of the IO and the remaining fifty percent (50%) shall be paid on the completion of the deliverable as per the IO.&lt;\/p&gt;\n\n&lt;p&gt;Invoices will be sent to the Company&#039;s billing address as set forth on this Agreement. A 2% per month (pro-rated for part thereof) interest on late payments may be levied at the InMobi&#039;s option from the date of receipt of an invoice by Company.&lt;\/p&gt;\n\n&lt;p&gt;&lt;strong&gt;&lt;u&gt;Taxes &lt;\/u&gt;&lt;\/strong&gt;Other than taxes levied on the income of a party, any taxes, including but not limited to, VAT, service tax, withholding tax, shall be paid by the Company.&lt;\/p&gt;\n\n&lt;p&gt;&lt;strong&gt;LICENSE&lt;\/strong&gt;&lt;\/p&gt;\n\n&lt;p&gt;Company acknowledges and agrees that all intellectual property rights in and relating to Survey Questions, any materials, data or information that are developed, owned, created or licensed by InMobi (whether by itself or any third party) including any feature(s) or enhancements thereto or other InMobi proprietary products (&quot;&lt;strong&gt;InMobi Materials&lt;\/strong&gt;&quot;) prior to or after the date of this Agreement, are and shall remain the sole property of InMobi. No modification of these Terms will be binding unless in writing and signed by both parties. If any provision herein is held to be unenforceable, the remaining provisions will remain in full force and effect. All rights and remedies hereunder are cumulative. An app developer who requests for an invite to InMobi Native Ad platform or tweets a link about InMobivia the InMobi Website between 9.00 am PDT on 17\n\t&lt;sup&gt;th&lt;\/sup&gt; March 2014 and 9.00 am PDT on 24&lt;sup&gt;th&lt;\/sup&gt; March 2014 shall be automatically entered into the Competition (an \u201c&lt;strong&gt;Entrant&lt;\/strong&gt;\u201d).\n&lt;\/p&gt;\n&lt;p&gt;\n\t10. By entering the Competition, Entrants agree to be bound by these Rules.\n&lt;\/p&gt;\n&lt;p&gt;\n\t11. InMobi reserves the right to verify the eligibility of any Entrant. InMobi further reserves the right to disqualify any Entrant if, in the opinion of InMobi, such Entrant has breached any of these Rules or otherwise acted improperly or dishonestly.\n&lt;\/p&gt;\n&lt;p&gt;\n\t12. Employees of InMobi and any individual directly or indirectly associated with the operation of the Competition are not eligible to enter the Competition. Entries sent via agents or third parties will not be accepted.\n&lt;\/p&gt;\n&lt;h3&gt;Competition Entries&lt;\/h3&gt;\n&lt;p&gt;\n\t13. InMobi assumes that Entrants, by entering the Competition, either have legal capacity to enter the Competition and agree to these Rules or the Entrant\u2019s parent(s)\/legal guardian(s) have consented to his\/her entry of the Competition and compliance with these Rules.\n&lt;\/p&gt;\n&lt;p&gt;\n\t14. The aforementioned request for an invite to InMobi Native Ads Platform or tweets about InMobi must be made by the closing time of the Competition.  No entries will be entertained after the closing time.\n&lt;\/p&gt;\n&lt;p&gt;\n\t15. There are no limits to the number of tweets an Entrant can make. However, only 1 entry will be considered per Entrant for determining the winner.\n&lt;\/p&gt;\n&lt;p&gt;\n\t16. By entering the Competition, Entrant agrees to comply with the terms and conditions of the third party website.\n&lt;\/p&gt;\n&lt;h3&gt;Prizes&lt;\/h3&gt;\n&lt;p&gt;\n\t17. Entrants who have entered the Competition will be entered into a prize draw for one (1) iPad and the winner will have the opportunity to have his\/her app be publicised in InMobi\u2019s newsletters. The prize shall be allotted within six (6) weeks of the termination of the Competition.  The winner is not required to pay any shipping or handling costs.\n&lt;\/p&gt;\n&lt;p&gt;\n\t18. The prize winner (\u201cWinner\u201d) will be selected at random by InMobi.\n&lt;\/p&gt;\n&lt;p&gt;\n\t19. InMobi\u2019s selection of the Winner shall be final and no correspondence will be entered into.\n&lt;\/p&gt;\n&lt;p&gt;\n\t20. The Winner will be notified via Email used to enter the competition in she\/he had requested an invite to InMobi Native Ads via a form. InMobi will reach out to the Winner on Twitter in all other cases.\n&lt;\/p&gt;\n&lt;p&gt;\n\t21. If a Winner cannot be contacted or does not respond to InMobi\u2019s communication, the Winner will automatically forfeit his\/her prize and another Winner will be selected at random by InMobi.\n&lt;\/p&gt;\n&lt;p&gt;\n\t22. Prizes are awarded at InMobi\u2019s discretion and no prize will be awarded to any Entrant who, in the opinion of InMobi, has breached any of these Rules or otherwise acted improperly or dishonestly.\n&lt;\/p&gt;\n&lt;p&gt;\n\t23. InMobi reserves the right to substitute competition prize at any time with a prize of equal or greater value.
